Terms & Conditions

These Terms & Conditions (“Terms”) govern the provision of digital marketing services, including Google Ads management, Meta Ads management, web design, SEO, conversion rate optimisation (CRO), and related services (collectively, the “Services”) by Click Fusion Limited (“Click Fusion”, “we”, “us”, “our”) to any client (“Client”, “you”, “your”). By engaging Click Fusion, submitting a booking, signing a proposal, or making payment for any Service, you agree to be bound by these Terms.

1. Services

1.1 Click Fusion provides digital advertising and marketing management services, which may include (depending on the package or proposal agreed with the Client): campaign strategy, keyword research, ad copywriting, campaign setup, conversion tracking, landing page design, ongoing campaign optimisation, and monthly performance reporting.

1.2 The specific scope of Services, package inclusions, and pricing for each Client will be set out in a separate proposal, quote, or order confirmation (“Proposal”). Where there is any conflict between these Terms and a signed Proposal, the Proposal will take precedence for the matters it specifically addresses.

1.3 Click Fusion reserves the right to update, amend, or discontinue any Service, package, or pricing structure at any time. Changes will not affect Services already agreed to in an active Proposal unless otherwise communicated in writing.


2. Fees, Setup Costs & Payment

2.1 Setup Fees. Where a Proposal includes a one-off setup fee (covering campaign build, tracking implementation, and/or a dedicated landing page), this fee is payable in month 1 only and is non-recurring.

2.2 Management Fees. Ongoing management fees are billed monthly in advance (or as otherwise stated in the Proposal) and cover campaign management, optimisation, and reporting only. Management fees do not include advertising spend.

2.3 Ad Spend. All advertising spend (e.g. Google Ads, Meta Ads) is paid directly by the Client to the relevant advertising platform (Google, Meta, etc.) via the Client’s own billing account, unless otherwise agreed in writing. Click Fusion does not mark up, retain, or take commission on ad spend.

2.4 Promotions & Free Offers. Any promotional offer (including “first month free” or similar) applies only to the specific fee and package stated in the promotion at the time it was offered, and does not extend to setup fees, ad spend, or other services unless explicitly stated. Promotional offers are limited to new clients, may be withdrawn or amended at any time without notice, and are subject to these Terms.

2.5 Late Payment. Invoices are due within the timeframe stated on the invoice (default: 7 days from issue). Click Fusion reserves the right to pause campaign management or ad delivery on any account with an overdue balance, and may charge interest or a late payment fee on overdue amounts at its discretion.

2.6 Price Changes. Click Fusion may adjust package pricing for future billing periods with reasonable written notice (minimum 30 days). Price changes will not apply retroactively.


3. Term, Cancellation & Refunds

3.1 Unless otherwise agreed, all Services are provided on a month-to-month basis with no lock-in contract.

3.2 Either party may cancel ongoing management services by providing written notice (email is sufficient). Cancellation will take effect at the end of the current billing period, and the Client remains responsible for any fees or ad spend incurred up to that date.

3.3 One-off setup fees, once campaign build or landing page work has commenced, are non-refundable, as they cover work and resources already delivered.

3.4 Click Fusion reserves the right to decline, pause, or terminate Services at its discretion — for example, where a Client’s business or advertising activity breaches advertising platform policies, applicable law, or these Terms.


4. Account Ownership & Access

4.1 Where campaigns are run on the Client’s own Google Ads, Meta Ads, or other advertising accounts, the Client retains full ownership of and access to those accounts at all times.

4.2 Where Click Fusion sets up a new advertising account on the Client’s behalf, ownership will be transferred or granted to the Client, and the Client will retain administrative access.

4.3 Upon termination of Services, Click Fusion will remove its access from the Client’s advertising accounts within a reasonable timeframe and will not use the Client’s account, data, or historical campaign information for any other purpose.


5. Landing Pages & Subdomain Hosting

5.1 Where a Proposal includes a dedicated landing page, this page is built specifically to receive paid advertising traffic and is hosted on a subdomain (e.g. go.clientdomain.co.nz) separate from the Client’s main website. The Client’s primary website and domain remain unaffected.

5.2 Hosting of the dedicated landing page is included for the duration of the active management engagement. Should the Client cancel ongoing Services, continued hosting of the landing page may be subject to a separate hosting fee or may be taken down, at Click Fusion’s discretion, with reasonable notice.

5.3 The Client may request reasonable revisions to landing page content. Extensive redesigns beyond the original scope may incur an additional fee.


6. Reporting & Performance

6.1 Click Fusion will provide performance reporting on a monthly basis (or as otherwise agreed), covering key campaign metrics such as clicks, impressions, cost-per-click, conversions, and leads generated.

6.2 Click Fusion will use reasonable skill and care in managing and optimising campaigns. However, Click Fusion does not guarantee specific results, including but not limited to a specific number of leads, a specific cost-per-lead, ranking positions, click-through rates, or return on ad spend. Digital advertising performance is influenced by factors outside our control, including platform algorithm changes, market competition, seasonality, and the Client’s own website, offer, and pricing.

6.3 Case studies, testimonials, and results referenced in proposals or marketing material reflect the experience of specific past clients and are not a guarantee of similar results for any other Client.


7. Client Responsibilities

7.1 The Client agrees to provide timely access to necessary accounts, assets, approvals, and information required for Click Fusion to deliver the Services.

7.2 The Client is responsible for the accuracy of information provided (including claims, pricing, offers, and business details used in ad copy and landing pages) and for ensuring their business, products, and services comply with all applicable laws and advertising platform policies.

7.3 Delays caused by the Client (e.g. late feedback, approvals, or account access) may affect campaign timelines and are not the responsibility of Click Fusion.


8. Intellectual Property

8.1 Any campaign strategies, ad copy, creative assets, or landing pages developed by Click Fusion for the Client become the property of the Client once paid for in full, except for any pre-existing tools, templates, or methodologies owned by Click Fusion, which remain Click Fusion’s property.

8.2 Click Fusion retains the right to reference the Client’s business name, industry, and general campaign outcomes (e.g. in case studies or testimonials) for its own marketing purposes, unless the Client requests otherwise in writing.


9. Confidentiality

Both parties agree to keep confidential any non-public business, financial, or account information shared during the course of the engagement, and to use such information solely for the purpose of delivering or receiving the Services.


10. Limitation of Liability

10.1 To the maximum extent permitted by law, Click Fusion’s total liability arising out of or in connection with the Services is limited to the total fees paid by the Client to Click Fusion in the three (3) months preceding the event giving rise to the claim.

10.2 Click Fusion is not liable for indirect, incidental, or consequential loss, including loss of profits, loss of business, or loss of data, arising from the Services.

10.3 Nothing in these Terms excludes or limits any rights the Client has under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 (NZ) that cannot lawfully be excluded.


11. Third-Party Platforms

Click Fusion manages campaigns on third-party advertising platforms (such as Google Ads and Meta Ads) which have their own terms, policies, and account requirements. Click Fusion is not responsible for platform outages, account suspensions, policy changes, or ad disapprovals made by these third parties, though we will work to resolve such issues where possible.


12. Changes to These Terms

Click Fusion may update these Terms from time to time. The version published on this website at the time of a Client’s engagement will apply. Continued use of the Services after an update constitutes acceptance of the revised Terms.


13. Governing Law

These Terms are governed by the laws of New Zealand, and any disputes will be subject to the exclusive jurisdiction of the courts of New Zealand.
